Question:
I have a general query on attendance at board meetings. Where somebody is being invited to attend at a board meeting, does that invitation have to be approved / accepted by all Board members? The scenario would be a family member being invited to observe. I presume in the event that other board members agree then there would not be an issue or would there have to be specific provisions around invited guests in the constitution which would allow for this to happen?
Answer:
Firstly the constitution of the Company should be reviewed for any specific clauses relating to the attendance, notices or running of Board Meetings. Usually it is heavily detailed in CLG constitutions. However for the most part if it is not specified in the constitution no person other than the Directors and alternative directors (if applicable) are entitled to notice of board meetings unless the Directors agree to it ahead of issuance of the notices.
