A client who is a director of a company. The company was dissolved by the CRO as no returns have been filed for a number of years. As the company is dissolved I don’t think it is possible to do an electronic B10 to resign. Can he resign as a director?

As the Company is no longer on the Register under Section 726 Companies Act 2014, the only way to remove the Director is for the Company to be restored to the register. If the company is dissolved less than a year from the date it was dissolved the Company can avail of an Administrative Restoration under Section 737(1)(c) Companies Act 2014, over 12 months, the Company will need to do a High Court Restoration under Section 738 Companies Act 2014.
