Company Law – New Legislation and Going Deeper into the 2014 Act
Less than 2 years after the commencement of Companies Act 2014 we are faced with new legislation in the form of the Companies Accounting Bill 2016. While this piece of legislation is long overdue and very welcome in terms of introducing reduced requirements for small and micro enterprises it is going to change our landscape again and bring in new requirements and new formats.
Companies Act 2014 is well bedded down at this stage but we are still seeing problems and mistakes in terms of the implementation along with lost or missed opportunities contained in the new provisions
What do the 2017 changes look like?
It is not possible to list all of the changes and key areas for companies and accountants but here are some of the highlights:
- The small entities regime which integrates S.1A of FRS 102
- The micro entities regime which integrates FRS 105
- New abridged accounts formats with more and sometimes less detail going into the CRO
- Fundamental shifts in relation to unlimited companies
- Possibilities in relation to directors remuneration and transactions disclosures within the Micro Entity framework
- Opportunities in relation to S.239 directors and connected person loans using the S.203 SAP procedure
- New restructuring and group consolidation considerations
