(1) The constitution of a company shall be delivered for registration to the Registrar together with—
- the statement and consent referred to in section 22; and
- the declaration referred to in section 24, and, where appropriate—
(2) The Registrar shall not register a constitution delivered for registration under this section unless he or she is satisfied that all the requirements of this Act in respect of registration and of matters precedent and incidental thereto have been complied with.
DJEI Commentary
Section 20 provides that a company may not alter its constitution except as provided for in this Act. This reproduces in substance section 9 of the Companies Act 1963.
